Terms of Use

These Terms of Use govern your use of EZ File Manager — the Android app, the desktop/native agent, the web app at ezfilemanager.aicanadiansolutions.ca, and the account service behind them (together, the "Service"). By creating an account or using the Service you agree to these Terms.

1. What the Service is

EZ File Manager helps you index the files on your own drives, phones and connected cloud accounts, find duplicate files across those sources, and manage them from one place. It includes a native desktop agent that scans your computers locally, optional cloud connections (e.g. Dropbox, OneDrive), an encrypted Secure Vault, device-to-device transfer features, and an AI-assisted cleanup advisor. How we handle your data is described in our Privacy Policy, which forms part of these Terms.

2. Eligibility and your account

You must be at least 13 years old (at least 14 in Quebec) and legally capable of entering into these Terms.
You are responsible for keeping your password, vault password, pairing codes and API/agent tokens confidential, and for all activity under your account.
You must provide accurate account information and keep it up to date. One account is for one person or organization; do not share credentials.
If you lose your vault password, encrypted Vault content may be unrecoverable — we cannot reset it for you.

3. Your files and your responsibility

Your files are yours — and so is the responsibility for them

You retain all ownership of your files and their metadata. You grant us only the limited licence needed to operate the Service: to store and process the metadata you index, and to store the content you deliberately place in the Vault or device inbox, until you delete it. You are solely responsible for the files you scan, store, transfer or delete through the Service, and you represent that you have all necessary rights to them.

Deletions are yours. The Service recommends cleanups; nothing is removed from your devices or cloud accounts without your explicit action. Review recommendations before acting on them, and keep your own backups. We are not responsible for files you choose to delete.
Rights. Do not index, store or transfer content you do not have the right to possess or share.
Backups. The Service is a management tool, not a backup service. Keep independent backups of anything important.

4. Acceptable use

You agree not to:

use the Service to store, index, transfer or distribute content that is unlawful, infringing, or that you have no right to hold — including material that infringes copyright or other intellectual-property rights;
abuse the peer-to-peer transfer, device-inbox or agent features to distribute malware, spam, or content to people who did not request it, or to access devices, accounts or files you do not own or control without authorization;
run the desktop agent on machines you are not authorized to scan, or point it at storage you have no right to access;
probe, overload, disrupt or circumvent the security of the Service, other users' accounts, or our infrastructure (including rate limits and plan limits);
reverse engineer, resell, sublicense or white-label the Service except as permitted by law;
use the Service to violate any applicable law or regulation, or the terms of a cloud provider you connect.

We may suspend or terminate accounts engaged in these activities (Section 9).

5. Subscriptions and billing

Paid plans are billed through Stripe. Prices, plan limits and any free-trial terms are shown at checkout and on the pricing page.
Subscriptions renew automatically until cancelled. You can cancel any time; your plan remains active until the end of the paid period. Except where required by law, fees already paid are non-refundable.
We may change prices with reasonable advance notice; changes apply from your next billing cycle.

6. AI features

The AI cleanup advisor generates suggestions with the help of a third-party AI provider (OpenAI), as described in the Privacy Policy. AI output can be imperfect. Suggestions are provided for convenience only — always verify before acting on them. The deterministic rules engine, not the AI, decides which duplicate copies are flagged, and you make every final decision.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DUPLICATE DETECTION WILL BE COMPLETE OR ACCURATE, OR THAT ANY DATA WILL NOT BE LOST. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, INCLUDING CONSUMER GUARANTEES UNDER PROVINCIAL CONSUMER-PROTECTION LEGISLATION; IN THAT CASE THESE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AI CANADIAN SOLUTIONS AND ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, FILES, PROFITS, REVENUE OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE — INCLUDING FILES DELETED BY YOU FOLLOWING A RECOMMENDATION — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE AND (B) FIFTY CANADIAN DOLLARS (CAD $50). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

9. Indemnification

You agree to indemnify and hold harmless AI Canadian Solutions from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from: (a) your files and content, including claims that they infringe a third party's rights; (b) your use of the Service in violation of these Terms or applicable law; or (c) your use of the agent, P2P or connection features against devices, accounts or data you were not authorized to access.

10. Suspension and termination

You may stop using the Service at any time and request account deletion via our account & data deletion page.
We may suspend or terminate your access, with notice where practicable, if you materially breach these Terms, create risk or legal exposure for us or other users, or if we discontinue the Service. On discontinuation we will give reasonable notice so you can export what you need.
Sections 3, 7, 8, 9, 11 and 12 survive termination.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Subject to any non-waivable consumer-protection rights of your province of residence, the courts of Ontario have exclusive jurisdiction over disputes arising from these Terms or the Service.

12. General

Changes. We may update these Terms; if a change is material we will update the effective date above and notify you by email or in-app notice. Continued use after the change takes effect constitutes acceptance.
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
Severability. If any provision is unenforceable, the rest remains in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets.
